3. User Eligibility and Account Responsibilities

By using Coachingfella, you represent and warrant that:

You are at least 18 years of age or have reached the age of majority in your jurisdiction

You have the authority to enter into this binding agreement

You will use the Service in compliance with all applicable laws and regulations

You are not a person or entity barred from using the Service under applicable law

You have not been previously suspended or removed from the Service

3.2 Account Setup

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Notifying us immediately of any unauthorized access or breach of security

All actions taken through your account

4. Free Trial Period and Service Access

4.1 Three-Month Free Trial

Coachingfella provides a three-month free trial period for all new coaches. During this period:

You have full access to all platform features at no cost

You can build your sales funnel and student portal

You can integrate your payment processing system

Our system will facilitate lead conversion

4.2 Conditions of Free Trial

To maintain access during the free trial period, you must:

Actively generate and bring leads to your funnel

Demonstrate genuine engagement with the platform

Comply with all terms of this agreement

4.3 System Termination Policy

If you fail to make at least one sale during the three-month free trial period, Coachingfella reserves the right to:

Suspend or deactivate your account and system access

Remove your student portal and sales funnel

Provide 7 days' written notice before suspension (except in cases of Terms violations)

You will have the opportunity to archive or export your data before complete removal, except where prohibited by law or in case of Terms violations.

5. Revenue Share and Payment Terms

5.1 Revenue Share Model

Upon successful completion of your first sale and beyond, the following terms apply:

Commission Rate: You agree to pay Coachingfella 10% of gross revenue from all sales made through the platform

Revenue Definition: Gross revenue includes the total amount paid by students/clients, excluding payment processor fees (e.g., Stripe fees)

Payment Frequency: Commission is due within 30 days of each transaction

5.2 Payment Processing

Your Stripe account or other payment method remains exclusively under your control

Coachingfella does not have access to your payment account or sensitive payment information

Payment details are processed directly between the student/client and your chosen payment processor

You are solely responsible for maintaining your payment processor account in good standing

5.3 Commission Calculation and Payment

Commissions are calculated automatically through the platform

You will receive monthly invoices detailing all sales and commissions due

Payments must be made via bank transfer, Stripe, or other mutually agreed methods

5.4 Tax Responsibilities

You are responsible for determining and paying all applicable taxes on your coaching revenue

Coachingfella will provide tax documentation upon request

You should consult with a tax professional regarding your obligations

6. Intellectual Property and Use Rights

6.1 Platform Ownership

All materials, software, code, design, and content on Coachingfella (excluding user-generated content) are the exclusive property of Coachingfella or its licensors. This includes:

Platform architecture and functionality

Sales funnel templates and customization tools

Student portal interface and features

Documentation and training materials

6.2 Limited License

We grant you a non-exclusive, non-transferable, revocable license to use the Service solely for your coaching business during the term of your agreement with us. You may not:

Reproduce, modify, or create derivative works of the platform

Reverse engineer or attempt to access source code

Sell, license, or sublicense access to the platform

Remove copyright, trademark, or proprietary notices

6.3 User-Generated Content

You retain ownership of all content you create within the Service (coaching materials, funnel content, marketing copy, etc.). By using Coachingfella, you grant us a limited license to:

Use your content to operate and improve the Service

Display your content within the student portal and funnel

Use anonymized data for analytics and service improvement

7. Payment Methods and Security

7.1 Payment Integration

You authorize us to integrate with Stripe and other payment providers on your behalf

Your payment method is subject to the terms of your chosen payment processor

We will never store or have access to your payment card information

All payment data transmission is encrypted and PCI-DSS compliant

7.2 Failed Payments

If a commission payment fails:

We will notify you within 48 hours

You have 14 days to remit payment

Failure to pay may result in platform suspension

8. Prohibited Uses and Conduct

You agree not to:

Use the Service for any illegal or unauthorized purpose

Violate any applicable laws, regulations, or industry standards

Engage in fraudulent or deceptive practices

Create false or misleading marketing materials

Spam or harass students/clients

Share your account with unauthorized parties

Attempt to breach or circumvent platform security

Use the Service to provide financial, legal, or medical advice (unless properly licensed)

Offer services that are illegal in your jurisdiction or your students' jurisdictions

Engage in pyramid schemes, multi-level marketing, or similar schemes

Collect or process student data in violation of applicable privacy laws

9. Student Protection and Consumer Rights

9.1 Refund Policy

You agree to establish and maintain a clear refund policy for your students. Recommended guidelines:

Students have the right to request refunds within a reasonable period (typically 14-30 days)

You are responsible for processing refunds through your payment processor

9.2 Data Protection

You agree to:

Protect all student data according to applicable privacy laws

Comply with GDPR, CCPA, and local data protection regulations

Provide your own Privacy Policy to students

Implement reasonable security measures for student information

9.3 Dispute Resolution

If students file chargebacks or disputes, you are responsible for resolution

Coachingfella is not liable for payment disputes between you and students

Excessive chargebacks may result in platform suspension

10. Limitation of Liability

10.1 Disclaimers

Coachingfella provides the Service on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including:

Merchantability or fitness for a particular purpose

Uninterrupted or error-free operation

Accuracy of content or functionality

10.2 Liability Caps

To the maximum extent permitted by law:

Coachingfella's total liability shall not exceed the commissions paid by you in the 12 months preceding the claim

We are not liable for indirect, incidental, special, consequential, or punitive damages

We are not liable for loss of data, revenue, or business opportunities

10.3 Exclusions

We are not responsible for:

Your failure to generate leads or make sales

Technical issues with your payment processor

Data loss resulting from your failure to backup data

Third-party service failures or downtime

11. Indemnification

You agree to indemnify and hold harmless Coachingfella from any claims, damages, or liabilities arising from:

Your use or misuse of the Service

Your violation of these Terms or applicable law

Your coaching content or services

Your relationship with students or clients

Third-party claims related to your business operations

Your payment processing or financial transactions

12. Termination

12.1 Termination by Us

We may terminate or suspend your account:

If you fail to make sales during the three-month free trial

If you violate these Terms or applicable law

For non-payment of commissions

For fraud or unauthorized use

For excessive chargebacks or payment disputes

12.2 Termination by You

You may terminate your account at any time by providing written notice. Upon termination:

You remain liable for all accrued commissions

Access to the platform will be revoked within 24 hours

You have 30 days to archive or export your data

12.3 Effects of Termination

Upon termination:

Your student portal and sales funnel will be deactivated

You lose all rights to use the Service

Provisions regarding payment obligations, liability, and indemnification survive

13. Changes to Terms and Service

13.1 Term Modifications

Coachingfella may modify these Terms at any time. Material changes will be communicated via:

Notice on the website (minimum 30 days before change)
